The posting says the Private Capital M&A team 'sits within EMEA M&A and is part of the global Private Capital Advisory & Solutions team and assists clients raise non-control private capital for a variety of purposes including: M&A, growth/capex, shareholder monetisations, balance sheet equitizations, refinancings'. Clients are large EMEA corporates, sponsor-owned companies and entrepreneur-led or family businesses; the money comes from private equity funds, sovereign wealth funds, alternative and credit investors, pension funds and insurers, family offices and other institutional investors. The load-bearing word in this title is 'non-control', and it is in the body rather than the title itself. Ordinary M&A sells a company; this desk sells a minority stake in one - a slice of equity, or something structured that sits between debt and equity - to an investor who will not run the business afterwards. A sell-side mandate runs roughly four to six months: seller diligence, quality of earnings and data room setup first; then broad outreach with teasers and NDAs producing indicative bids; then a narrowed set of bidders with full data room access; then best-and-finals, negotiation of the sale agreement, and signing; then regulatory clearance and closing. The core deliverables are the confidential information memorandum, the management presentation and the data room. As of the first week of September that window is about to shut. Required: several years of full-time investment banking experience; a keen interest in private capital markets, minority M&A and structured transactions, including how minority transactions work through shareholder and governance agreements; a desire to work across sectors and transaction types; strong technical ability and corporate finance proficiency, with an understanding of capital structures and investor returns modelling; the ability to engage in client and investor communications; the ability to take ownership across a transaction with exposure to industry, country and product teams; and the ability to support several transactions in parallel. Preferred: prior experience in M&A or capital raising, whether equity or debt and leveraged finance, and prior experience communicating with buyside investors.
